Tech Mahindra Ltd: CTC Acquisition To Strengthen TechM’s Insurance And Digital Engineering Capabilities

* TechM has agreed to acquire a 100% stake in Com Tec Co IT Ltd (CTC), an IT solutions and services provider serving the insurance and financial services industries, for a cash consideration of EUR310mn, including earnouts (~4x EV/Sales on annualized CY21E sales). It is also acquiring a 25% stake in SWFT Technologies Ltd and Surance Ltd for EUR16.5mn and EUR3.5mn, respectively, with an option to acquire another 20% stake in the next two years.

* Deal rationale: The CTC deal will strengthen TechM's digital capabilities with the addition of over 720 skilled professionals across digital engineering, UI/UX, architecture, agile full stack capability, cloud, AI/ML, etc. It will also expand the talent pool access across eastern European markets. The acquisition will strengthen TechM's digital transformation expertise and expand its offerings to high-end digital engineering services for some of the largest insurance, re-insurance and financial services organizations globally. It will scale up TechM's near-shore delivery presence in Europe. The business will be co-branded as Tech Mahindra CTC with immediate effect. The company will put in place an integrated operational management team that will focus on driving identified areas of synergies, including but not limited to cross-sell and scale up digital engineering capabilities.

* Deal structure: TechM will pay a total consideration of up to EUR310mn, including earnouts for the acquisition of CTC, which includes an upfront payment of EUR210mn and EUR100mn of earnouts over four years based on business performance and realized synergies benefits. It will also invest a cumulative amount of EUR20mn in SWFT (EUR16.5mn) and Surance (EUR3.5mn) for a 25% ownership in each of these InsureTech ventures funded by the same founding group as CTC.

* Brief profile of CTC: Incorporated in 2011, CTC is a specialized digital engineering and outsourced product development organization with development centers in Latvia and Belarus with 720+ employees (85% in Lativa and 15% in Belarus having capabilities in Agile Full stack, Architecture, UI/ UX, Cloud, AI/ML). CTC provides digital platforms and applications, and digital transformation-based services, including product engineering, cloud engineering, UX/UI design, AI/ML, cybersecurity services. It offers high-end digital engineering services to some of the largest insurance and reinsurance organizations globally. CTC posted revenue of EUR36.6mn/EUR57.6mn/EUR71.3mn/EUR58.8mn in CY18/CY19/CY20/9MCY21.

* Our view: This is the 10th acquisition announced by TechM in FY22 YTD and underlines its focus on strengthening its digital business under the NXT.NOW framework. The CTC acquisition and investments into Insuretech platforms will strengthen TechM's Insurance capabilities and expand its client portfolio across insurance, reinsurance and financial services firms. The acquisition will strengthen TechM's digital engineering capabilities and scale up its European presence with the addition of over 700 skilled IT professionals. Management during the call indicated that CTC operates at industry-leading margins and that the deal will be accretive to TechM's EBIT margins on a full consolidated basis. As per management, the transaction will be EPS (even on GAAP basis) and ROCE accretive. Given the size of the acquisition (<2% of Tech Mahindra's revenue), we do not expect any meaningful revision to our earnings estimates. We have a Buy rating on the stock with a TP of Rs1,930 at 25x Dec'23E EPS.

Shadowfax Announces Second COVID Care Program For Its 100,000+ Rider Partners


* Shadowfax is the first in its industry, to support a growing fleet of 100,000+ rider partners across 700+ cities safely navigate the third wave of COVID

Shadowfax, India’s leading crowdsourced tech-enabled platform for last-mile deliveries, has announced its second COVID care program for all its rider partners. Since its inception, Shadowfax’s core focus has been the wellbeing and growth of its partner community, while also ensuring the best delivery experience for its customers, safely. The company continues to be immensely invested in supporting its 100,000+ rider partner network, from implementing and enhancing safety measures to providing financial and medical assistance during this time of crisis.

Unlike the first and second waves, the third wave is more likely to have a steeper impact on the overall supply chain. Data collected internally indicates that grocery and pharma categories witnessed a 50% spike in delivery volume as compared to the last month. The company conducted a pilot survey within its delivery network to map the COVID positivity rate among partners. The results depicted a 5X increase in the positivity rate as compared to the numbers captured during the peak of the second wave.

Shadowfax has been running on-call COVID assistance and counselling for its rider partners and families. In addition to the COVID care program, the company has also partnered with Acko General Insurance to provide insurance benefits to its riders. This fund is established to compensate our rider partners for earnings lost due to COVID infection and help asymptomatic riders quarantine effectively, thereby ensuring a safe experience for all.

60 Global Hospitality Leaders Conferred Fellow Of IIHM Title By IIHM International College Of Distinguished Fellows


The Hospitality industry has displayed immense strength and resilience through the pandemic. The stalwarts associated with this industry have shown their wholehearted dedication and passion towards their work and serving society. Across the world, this zeal among Hospitality professionals has inspired others to follow in their footsteps.

To spread the light of inspiration, knowledge and experience, the IIHM College of Distinguished Fellows has organized a second convocation ceremony where 60 dedicated professionals of the Hospitality industry were conferred the title of Fellows of IIHM. All of those who received this honor, have contributed immensely to the international Hospitality industry in some way and would now share their knowledge and experiences to educate the upcoming future generation of hospitality professionals studying at IIHM. 

The motto of The IIHM International College of Distinguished Fellows is ‘FIAT LUX’ (Let there be Light). The distinguished Fellows are the shining light of the industry, always guiding future generations and students of hospitality. 

The Vision is to create The IIHM International College of Distinguished Fellows membership that will solely comprise individuals who have been conferred the Fellow of IIHM. The key objective of this college is to proactively create and provide support in a range of ways to the student and academic community in general. This will further enhance the educational and career aspirations of all students and graduates of the hospitality industry through inspirational leadership. 

The IIHM International College of Distinguished Fellows was inaugurated on 9th July, 2021 with 8EX Hospitality E- Conclave bringing together 200 Hospitality professionals from across the world. The conclave was a massive platform for exchange of ideas and experiences through speeches and panel discussions on the online platform. 

The first special virtual convocation ceremony was held on 10th July 2021 where Dr Suborno Bose, CEO, International Institute of Hotel Management & CEO, International Hospitality Council, Prof David Foskett , MBE, Chairman -International Hospitality Council, London, Ron Scott, International Director, Indismart Group came together to confer the Fellowship on to the 150 selected Hospitality professionals.

He has completed 10 unique collage art works within 6 hours and 30 minutes. MAHE Manipal honoured him on January 14, 2022 in the presence of Dr. H.S Ballal, Pro Chancellor, Lt. Gen. M.D. Venkatesh, Vice Chancellor, Dr. H. The collages made by Mr Shenoy are artistic wonders created out of pages of old magazines without a drop of paint. The achievement remains one of its kind as no one else has attempted it yet.

His father Late Sri.K.P.Shenoy was a renowned artist and also one of the pioneers in collage art in the country. His mother Smt.Padmini Shenoy was also an artist. Inspired by his father, Suresh wants to bring out the uniqueness of collage art and expose to the world how painting without paint is a wonderful media to express one’s happiness. Interestingly, Suresh’s son Sanath is following the footsteps of his father and grandfather in Art. Suresh has a collection of more than 300 master pieces till date.

Singapore Tourism Board & Little Black Book Launch Singapore Edit Festival


* The Singapore Edit Festival brings together six Indian and four Singaporean homegrown brands to create a Singapore inspired limited collection in apparel, home décor, cocktail mixer and healthy snacks.

The Singapore Tourism Board (STB) India announced that it has partnered with Little Black Book (LBB), one of India’s leading online discovery & content e-commerce platforms, to launch a Singapore inspired limited collection of lifestyle products. The collection will be showcased at the Singapore Edit Festival on LBB shop from January 14th to February 14th 2022.

Designers of popular local brands from both Singapore and India have come together to create a range of Singaporean-inspired products from furniture, home décor, apparel to cocktail mixers and healthy snacks.  They will be made available for sale exclusively through LBB’s online shopping platform.  This unique collaboration of six Indian brands and four Singapore brands have blended their brand ethos and design elements to present a unique and limited edition that has never been done before.  The designers from both countries had worked virtually to jointly curate the design of the products and the fruits of labour were proudly made in India.

With the pandemic affecting local retail business, this association hopes to reinvigorate demand for local Indian brands which has been growing over the years. The innovative collaboration brings forth the uniqueness and cultural mix of Singapore and India to create compelling offerings that celebrate the journey of these homegrown brands.

In the home edit category, Singapore’s furniture brand Scene Shang and India’s home décor brand Sashaa World have co-created furniture, cushion covers, rugs and wall hangings inspired by Scene Shang’s signature coin pattern, a commonly found motif in heritage architecture in Singapore. India’s House This presents home décor items inspired by Singapore’s flora and fauna while in the apparel category, Singapore’s Baju by Oniatta, a clothing line dedicated to reimagining Batik for the modern wardrobe, and Fabnest, a fast-growing Indian fashion brand have reimagined a ‘Tiger’ themed apparel collection to mark the ‘Year of the Tiger’ according to the Chinese calendar. Fabnest has brought this theme to life on an Ikat fabric, which is native to India.

Kolkata-based brand Leisure Loom and Singapore’s design brand Onlewo have collaborated on a range of women’s apparel while in the packaged food category, Singapore’s Prima Taste and India’s Omay Foods are serving up Singapore Laksa-inspired seasoned Potato Flakes, Foxnuts and Barbeque chickpeas to add to Omay Foods’ range of healthy snacks. Finally, for the cocktail mixers category, Bartisans, an Indian brand of cocktail mixers has concocted a Singapore inspired pandan and coconut cocktail mixers to add a dash of Singapore to its range of cocktail classics.

The four selected Singapore brands, Scene Shang, Baju by Oniatta, Onlewo and Prima Taste, are part of ‘Made with Passion’ initiative, a national marketing campaign which promotes Singapore’s local lifestyle brands which embody the Singapore spirit of turning possibilities into reality.
