NDL Receives NCLT Sanction To The Scheme Of Arrangement With HGSL Shareholders


NXTDIGITAL Limited (NDL), has received the final sanction and approval from the Honorable National Company Law Tribunal (NCLT) on 11th November 2022, to the Scheme of Arrangement between NDL and Hinduja Global Solutions Limited (HGSL).

Pursuant to the Scheme, the Media & Communication Business undertaking including the assets and liabilities together with the subsidiaries stands transferred to HGSL.

Mr. Amar Chintopanth, Whole Time Director and Chief Financial Officer will continue to be in the top management of NDL. The new NDL (after giving effect to the Scheme) shall focus on the next phase of reorganization of NDL, gearing up with necessary regulatory and other preparatory actions.

At a meeting of the Board of Directors of the Company held today, the Final Order of the Honorable NCLT was taken on record. The Board has also announced November 23rd 2022 (close of business), as the Record Date for the names of the shareholders who will become eligible for shares to be issued by HGSL pursuant to the Scheme of Arrangement. 

All shareholders of NDL holding Equity Shares in the Company as of close of business on November 23rd 2022 will be allotted Equity shares in HGSL in the ratio of 20 Equity Shares of Rs 10 each fully paid up in HGSL for every 63 Equity shares of Rs 10 each full paid up held of NDL.

More importantly, all shareholders of NDL as on the Record Date will be eligible to participate in  all the corporate actions that HGSL may decide upon including dividend (interim and final), buy back and other actions, if any, post the Record Date.

Neuberg Anand Reference Laboratory Hosts Walk-A-Thon Ahead of World Diabetes Day

The rate of diabetics in India is the second highest in the world, and the widespread of the disease is a growing public health concern. With an aim to raise awareness and educate the community on diabetes and the importance of regular screening, Neuberg Anand Reference Laboratory, one of the top 4 Pathology laboratory chains in India organized a walk-a-thon today.

The event was flagged off at Suvarna Bhavana via Yelahanka and routed back to Suvarna Bhavan saw participants including medical practitioners, common people who spread the message and created awareness on non communicable diseases through placards and hoardings. A talk on Diabetes Lifestyle management by Dr. Nidhi R, Consultant, Neuberg Anand Reference Laboratory was also organized for the participant as a part of awareness and education on diabetes. 

COVID 19 has been affecting us in ways we could never imagine. Even after the pandemic is theoretically gone, its effects can still be seen. And, when coupled with another (silent) killer i.e. “Diabetes”, the results are all the more astonishing. Recent findings by the Department of Data Science, Neuberg Anand Reference Laboratory reveal a striking spike in the number of cases of pre-diabetes and diabetes, as compared to the pre-COVID era. Dr. Sujay Prasad, Medical Director, Neuberg Diagnostics said, “There was a rise in the number of diabetics with about 5% increase. Even prediabetes cases increased by 10%. Also, the onset of diabetes increased by 3% in the 21-40 age group and by 7% in the 41-60 age group. A whopping 15% rise in the onset of prediabetes was seen in the age group between 21-40 and 10% in the 41-60 age groups. Gender wise there was no particular inclination observed in the cases. This spike in cases may be due to a combination of factors such as lack of physical activity during the lockdown period, mental stress, COVID-19 illness, and subsequent hospitalisation, etc.”

US-Based Morningstar Introduces Industry-First ‘India Unicorn Index’

US-headquartered global investment research company, Morningstar has introduced the industry-first Morningstar PitchBook Global Unicorn Indexes, including the Morningstar PitchBook India Unicorn 25 Index, a new series of benchmarks to daily measure Unicorns, or privately held venture capital-backed companies with valuations of $1 billion or more.

Morningstar determined only four countries have a critical mass of unicorns sufficient to create a meaningful single-country unicorn index. The creation of the Morningstar PitchBook India Unicorn 25 Index reflects local market conditions that are fertile ground for companies to remain private while they undergo considerable growth.

Morningstar noted that the pace at which new unicorns are coming up in India is rapid; as many as 10% of all new unicorns across the globe are born in India. The investment, consumption, and regulatory landscape in India is ripe for the growth of unicorns, as well as for upcoming unicorns, or “soonicorns.” Active government support for India’s start-up ecosystem, including its openness to foreign capital being invested, helps Indian startups secure funding while staying private. Behavioral changes towards technology and online consumer products that were brought on by the pandemic have also created a favorable environment for innovative startups. And the size of the consumer market in India allows businesses to produce at scale.

Similar to the Indian stock markets that remained relatively resilient compared to global peers, Indian unicorns have remained resilient as well.
